App License – Median.co (formerly GoNative.io) (2024)

THIS MEDIAN PROFESSIONAL LICENSE (this “Professional License”) is issued by GoNative.io LLC (“GoNative”) to the entity identified as “Licensee” below (“Licensee”) as of the date identified as the “Issue Date” below (the “Professional License Effective Date”) pursuant to Section 2.4 (Professional Licenses) of the Median Online Terms available at: https://median.co/terms (the “Online Terms”).

1. Effect of this Professional License.

This Professional License forms part of the Online Terms and is incorporated by reference therein.

2. Professional License Grant.

Subject to the terms and conditions of the Online Terms and Licensee’s compliance therewith, including Licensee’s payment of any applicable license fee in accordance with the payment terms set out therein, GoNative hereby grants to Licensee as of the Professional License Effective Date a perpetual, worldwide, non-assignable, non-transferable, non-exclusive, royalty-free, fully-paid up right and license to:

(a) publish to the Apple App Store or Google Play Store the iOS and Android app binary files, such as .IPA or .APK packages that do not contain source code for the application identified under “App Name” below (such files, the “Licensed Application”) to third parties, including Licensee’s third party end users;

(b) access and otherwise use the Licensed Application for commercial purposes; and

(c) sublicense the rights in (a) and (b) above to third parties, including Licensee’s third party end users.

3. Proprietary Rights.

The Licensed Application contains proprietary and trade secret information of GoNative. GoNative retains all right, title and interest, including intellectual property rights, in and to the Licensed Application. Licensee may not disclose the source code of the Licensed Application to the public or to any third party, including but not limited to Licensee’s third party end users or to public code repositories.

4. License Limitations.

The capabilities, functionalities, services or other add-ons identified in or made available through this Professional License, which may include push notification providers and native plugin modules, shall only be used for the Licensed Application and shall not be used for any other purpose (including, but not limited to, for or within other applications). Capabilities, functionalities, services or other add-ons not specified in this Professional License shall not be used or attempted to be used for or within the Licensed Application.

5. Survival.

This Professional License will survive any termination of the Online Terms.
